These Terms of Use (“Terms”) govern access to and use of the TrPharma Sales Portal and Mobile Application (the “Platform”), operated by TrPharma, a division of ThinkRoman Ventures LLP, having its principal place of business in Hyderabad, Telangana, India.

By accessing, installing, logging into, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree, you must immediately discontinue use.

1. Nature of the Platform

The Platform is a restricted internal business system designed to support TrPharma’s commercial, operational, compliance, and audit activities.

It is not a public service, not a consumer application, and not intended for patients, doctors, chemists, distributors, or the general public.

2. Eligibility & Authorized Access

Access is limited to:

  • Authorized TrPharma employees
  • Contracted field associates
  • Management and administrative staff
  • Approved consultants acting on behalf of TrPharma

Access is:

  • Role-based
  • Individually provisioned
  • Revocable at TrPharma’s sole discretion

Sharing credentials, devices, or access with any unauthorized person is a material breach of these Terms.

3. Scope of Permitted Use

You may use the Platform only for:

  • Official TrPharma business activities
  • Logging professional field activity
  • Accessing assigned operational data
  • Reporting, compliance, and coordination

You may not:

  • Use the Platform for personal benefit
  • Falsify, inflate, manipulate, or fabricate records
  • Circumvent system controls or audit mechanisms
  • Attempt to extract or replicate data outside approved workflows

4. Audit Logging & Monitoring

The Platform automatically records:

  • Login and logout activity
  • Timestamps and session metadata
  • IP address and approximate network location
  • Records accessed, created, modified, or deleted

You expressly acknowledge and consent that:

  • All activity may be reviewed internally
  • Logs may be used for audits, investigations, compliance checks, and performance evaluation
  • Logs may be retained after termination of access

5. Accuracy & Data Integrity

Users are solely responsible for:

  • Accuracy of data entered
  • Timeliness of reporting
  • Truthfulness of submissions

Submission of misleading or inaccurate data may result in:

  • Disciplinary action
  • Suspension or termination
  • Legal consequences under applicable law

6. Intellectual Property

All rights, title, and interest in:

  • Software
  • Code
  • Design
  • Trademarks
  • Data structures
  • Reports and dashboards

are the exclusive property of ThinkRoman Ventures LLP.

No license or ownership is granted beyond limited internal use.

7. Suspension & Termination

TrPharma may:

  • Suspend access temporarily or permanently
  • Disable accounts without prior notice
  • Restrict access based on role changes or exit

Termination does not remove TrPharma’s right to retain historical data.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Platform is provided “as is”
  • TrPharma is not liable for indirect, incidental, or consequential damages
  • No warranty is made regarding uninterrupted availability

9. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana, India.
